AbeBooks Affiliate Agreement

This Agreement, made and entered by AbeBooks Inc. and you, the affiliate ("You" or "Affiliate"), contains the complete terms and conditions that apply to your participation in the AbeBooks Affiliate Program (the "Affiliate Program" or "Program").
1. Eligibility
To be eligible to participate in the AbeBooks Affiliate Program, you must be a legal resident of the United States or Canada and at least 21 years of age (19 years of age in Canada).
BY ACCEPTING THIS AGREEMENT, YOU CONFIRM YOUR ELIGIBILITY AS ABOVE. YOU ALSO CONFIRM THAT YOU ARE LEGALLY AUTHORIZED TO ENTER INTO THIS AGREEMENT ON BEHALF OF YOURSELF, OTHERS OR A TYPE OF LEGAL ENTITY SUCH AS A CORPORATION OR PARTNERSHIP.
2. Enrollment in the Program
To begin the enrollment process, You will submit an application through AbeBooks.com. Upon our acceptance of your application we will provide you with the proper referral methods.
3. Term and Termination of the Agreement
The term of this Agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Either You or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn commissions during the term of this Agreement. If your promotion or referral methods are determined by us, at our sole discretion, to be unsuitable for the program, we will terminate this agreement with You.
Upon termination of this Agreement for any reason, You will immediately cease use of, and remove from your site, all links to our site, and all AbeBooks trademarks, trade dress, logos, banners, and all other materials provided by or on behalf of us to You pursuant hereto or in connection with the Program.
4. Modifications to the Agreement
We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on this site. Modifications may include, for example, changes in the scope of available commission structure, fee schedules, payment procedures and Program rules. If any modification is unacceptable to You, your only recourse is to terminate this agreement. Your continued participation in the program following our posting of a change notice or new agreement on our site will constitute binding acceptance of the change.
5. Methods of Referral
Upon acceptance into the Abebooks Affiliate Program, You will be provided with a unique affiliate link. You will direct your chosen referrals to the AbeBooks.com website via your affiliate link in order to purchase books. Methods of referral may include the use of websites, blogs, and offline materials. The use of email must comply with anti-spam regulations. You will earn commissions on any same-session purchases made via the affiliate link. Same session is defined as a single visit to AbeBooks.com. Navigating away from AbeBooks.com to another site, and/or closing the browser will end a session
6. Requirements of the Transition
The transfer from your website, blog or other referral method to the AbeBooks.com website must be at the sole discretion and control of the individual and must not be incentivized.
7. Compensation Defined
Affiliates will earn a commission of 5% of the book price on each completed sale that takes place on the AbeBooks.com website via their Affiliate link, to a maximum commission of $25.00 per individual item. Commissions will not be earned on items that have been reversed, returned or refunded.
At our discretion we determine fraudulent activity and reserve the right to reverse commissions at any time.
8. Payment to Affiliates
a) Commissions will be paid on a monthly basis in U.S. dollars by electronic funds transfer (ACH or EFT). At the time of your first payment, you will be contacted for your banking information.
b) If the affiliate’s accumulated balance does not meet or exceed $25.00, the balance due will roll over to the following month(s) until the minimum payment amount of $25.00 is reached.
c) Any attempt by an affiliate to manipulate, falsify or inflate sales and/or commissions, to defraud AbeBooks or to violate the terms of this Agreement constitutes immediate grounds for AbeBooks to terminate this Agreement and will result in forfeiture of any amounts otherwise due to You hereunder.
d) AbeBooks reserves the right to reverse any transactions deemed fraudulent or invalid.
9. Tracking of Sales
AbeBooks will be solely responsible for tracking sales. An affiliate will be solely responsible for ensuring that its links are formatted properly and maintained in a manner which allows AbeBooks to track such sales. No commission shall be paid if the application cannot be tracked by AbeBooks or if the customer accesses the AbeBooks site other than through the your affiliate link.
10. Prohibitions
Regarding use of email, You may NOT do any of the following unless you first obtain, in advance, AbeBooks’ express written permission.
These prohibitions are in addition to prohibitions and requirements under the federal CAN-SPAM Act of 2003 and all other applicable laws and regulations.
You may not forward, redistribute, or otherwise repurpose any email communications or newsletters or other âelectronic messagesâ that AbeBooks sends to its affiliates and/or customers.
You may not generate or send any unsolicited email (spam) under this Agreement or any email in violation of the CAN-SPAM Act of 2003 or any other applicable laws or regulations.
Violation of any of the terms or prohibitions contained in this Agreement may result in, among other things, the immediate termination of this Agreement and/or the commencement of an action by AbeBooks against You seeking, without limitation, injunctive relief and/or recovery of actual, statutory and/or punitive damages. In addition, You shall protect, defend, indemnify and hold harmless us and our parent and related entities from and against any claims, actions, liabilities, losses, damages, costs or expenses, including without limitation, attorneys’ fees and costs of litigation, even if such claims are groundless, fraudulent or false, incurred by us or our parent or related entities arising out of any content or activity by You or on your site or resulting from or in connection with your violation of any of the terms or prohibitions contained in this Agreement or any law, rule or regulation, including without limitation, claims for unsolicited email (spamming) or under the CAN-SPAM Act of 2003 or other violations of third party intellectual property rights, rights of privacy or publicity rights.
11. Anti-Spam and Email Marketing Policy
a) Spamming is strictly prohibited. For the purposes of this Agreement, spamming shall be defined as the sending out of email messages to email addresses which the affiliate has purchased or has harvested/collected from the Internet or otherwise, which email addresses have been obtained without the consent of the recipient. In addition, for email marketing done to "Permission-Based" email lists, defined as your house list of subscribers, customers or other consumers who have requested to receive mailings from you, all affiliates/partners must also abide by the ‘Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003′, or the `CAN-SPAM Act of 2003′. The practice of spamming and/or infringement of the CAN-SPAM Act of 2003 is a violation of our Policies and Procedures, and we will take action at our sole discretion against partners engaging in spamming or non-compliant mailings. These actions may include one or more of the following:
In the event AbeBooks receives one (1) or more spamming complaint, the affiliate’s account will be immediately suspended while we investigate the complaint(s), and commissions will not be tracked during that time.
In the event the investigation reveals that spamming did occur, AbeBooks may, at its sole discretion, terminate the affiliate’s account in accordance with Section 1 of this Agreement.
b) b) Permission-based emailing must comply with the CAN-SPAM Act. There are three (3) primary rules that will be strictly enforced:
Email address must have been obtained with permission
Every email sent must have the actual business address listed in the email
Every "bulk" email sent must have an "Unsubscribe" link that works

12. Anti-Predatory Policy
No affiliate will replace, intercept, interfere, hinder, disrupt or otherwise alter in any manner the Web users’ access, view or usage of, or other aspect of the Web users’ experience at, any affiliates webpage (as defined below) in a manner that causes or otherwise results in a different experience from that which was otherwise intended by such affiliate;
No Affiliate will block, alter, direct or redirect, or substitute, insert or append itself to, or otherwise intercept or interfere in any manner with, any click-through or other traffic-based transaction that originated from an affiliate webpage (including without limitation any return visit to AbeBooks to which such click-through or other traffic reached or intended to reach) with the result of reducing compensation or other payment earned by or owing to an affiliate or increasing any payment obligation of AbeBooks with respect to any individual transaction.
13. Pay-Per-Click Affiliate Policy
Affiliates may not bid on any of the AbeBooks Trademarked names, phrases, or misspellings.
Affiliates may not bid on the trademarked names, words, or phrases of any other companies unless they have permission from that company to do so.
We may modify this policy at any time. Violations of these policies are grounds for dismissal.
14. No Auto Cookie Setting Allowed
You agree not to auto-set a cookie on the user’s browser in any way. Auto-setting cookies or causing forced clicks by way of popups or popunders that open the merchant’s site without a click, framing techniques, redirects, or any other means is not allowed. We reserve the right to expire affiliates that are using any type of auto-cookie setting. 15. Privacy Policy
Except as otherwise provided in this Agreement or with the consent of the other party hereto, each of the parties hereto agrees that all information, including, without limitation, the terms of this Agreement, business and financial information, customer and vendor lists, and pricing and sales information, concerning us or You, respectively, or any of our affiliates provided by or on behalf of any of them shall remain strictly confidential and secret and shall not be utilized, directly or indirectly, by such party for its own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public through a source or sources other than such party hereto or its affiliates. Upon termination of this Agreement for any reason, You will immediately cease use of, and remove from your site, all links to our site, and all AbeBooks trademarks, trade dress, logos, banners, and all other materials provided by or on behalf of us to You pursuant hereto or in connection with the Program.
16. Fraud
If You commit fraud or falsify information through the links on your site or through other activities, this Agreement will be terminated immediately. In addition, You will be liable to AbeBooks for any and all damages that AbeBooks suffers as a result of such actions. You will also be responsible for returning to AbeBooks all commissions received for fraudulent sales, and we will not hesitate to pursue all legal causes of action against You to the fullest extent possible under the law. AbeBooks reserves the right to reverse any transactions deemed fraudulent or invalid.
17. Relationship of Parties
You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. AbeBooks may cite your name or URL in connection with your participation in the program in materials including but not limited to postings on our site, newsletters, advertisements, and other communications.
18. Responsibilities of Your Site
You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site.
You are solely responsible for:
a) The technical operation of your site and all related equipment;
b) The accuracy and appropriateness of materials posted on your site (including, among other things, all AbeBooks product-related materials);
c) Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, copyrights, trademarks, privacy, or other personal or proprietary rights);
d) Ensuring that materials posted on your site are not libelous or otherwise illegal.
19. Limitation of Liability
We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed one month’s commission paid or payable to You under this Agreement.
20. Indemnification
We disclaim all liability for the matters listed in Section 12. Further, You will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys’ fees) relating to the development, operation, maintenance, and contents of your site.
21. Disclaimer
We make no express or implied warranties or representations with respect to the AbeBooks.com website or the AbeBooks Affiliate Program (including, without limitation, warranties of fitness, merchantability, no infringement, or any implied warranties arising out of course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.
22. Limited License
We grant you a nonexclusive, nontransferable, revocable right to access our site through the links solely in accordance with the terms of this Agreement, for the sole purpose of linking your site to our site, solely for the purpose of identifying your site as a participant in the Program and assisting in increasing traffic to AbeBooks.com. You may not alter, modify, or change the links in any way. You are only entitled to use the links to the extent that you are a member in good standing of the AbeBooks Affiliate Program. We may revoke your license anytime by giving you written notice.
23. Publicity
Neither party shall notify media sources of their affiliation unless previously authorized by the other party. Media notices are to be approved by the other party prior to being publicized.
24. Miscellaneous
The laws of Canada and the laws of the Province of British Columbia govern this Agreement without reference to rules governing choice of laws. Any litigation arising under this Agreement will be brought in the federal or provincial courts of British Columbia and You irrevocably consent to the jurisdiction of such courts.
You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
This Agreement sets forth the entire understanding of the parties with respect to the subject matter hereof, and supersedes any prior agreements and understandings, both written and oral, which may have existed or exist between the parties with respect to the subject matter hereof. You may not modify this Agreement.
25. Independent Investigation
You acknowledge that You have read this agreement and agree to all its terms and conditions. You have independently evaluated the desirability of participating in the program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
